1.Introduction and scope

This Disclaimer (the "Disclaimer") forms part of the Terms of Use governing Binder and is incorporated into those Terms by reference under Section 12. It is issued by BinderCo, the business name of 2787168 Alberta Ltd., an Alberta corporation ("BinderCo", "we", "us", or "our"), in respect of Binder, the legal claim management service operated by BinderCo, including its Record, Advocate, Counsel, and Binder University components (collectively, "Binder" or the "Service").

This Disclaimer applies to all Users and to all Memberships. Capitalized terms used in this Disclaimer have the meanings given to them in the Terms of Use.

This Disclaimer should be read together with the Terms of Use, the Privacy Policy, and the Acceptable Use Policy. Where this Disclaimer and the Terms of Use address the same subject matter, the Terms of Use prevail.

2.Nature of the Service

Binder is legal claim management software operated by BinderCo. BinderCo is not a law firm, and Binder is not, in itself, a law firm. Except as expressly stated in Section 4 below in respect of Counsel, access to or use of Binder does not create a solicitor-client relationship, a lawyer-client relationship, or any other professional relationship between BinderCo and any User.

Record, Advocate, and Binder University are software components of the Service. Counsel is the sole component of the Service through which a User may establish a solicitor-client relationship, on the terms set out in Section 4.

3.No legal advice from Record, Advocate, or Binder University

Record is documentary in nature. It allows Users to capture, organize, and preserve records relating to a claim. Record does not analyze the legal merits of a claim and does not provide legal advice.

Advocate is investigative and gap-analysis in nature. It identifies factual gaps, documentary weaknesses, and lines of inquiry in a User's claim. Advocate does not provide legal advice and does not opine on the legal merits of a claim, the strength of a defence, or the likely outcome of any dispute.

Binder University is educational in nature. Its courses, scenarios, and materials are provided for general learning about legal claim management in Alberta, and are not tailored to the facts of any particular User's claim. Binder University does not provide legal advice.

None of Record, Advocate, or Binder University constitutes legal advice, and nothing produced by those components should be relied on as a substitute for advice from a qualified lawyer. Users who require legal advice on a particular matter should consult Counsel through Binder, or retain independent legal counsel.

4.Counsel — solicitor-client relationship and its limits

Counsel is supervised by lawyers licensed to practise in the Province of Alberta. Consistent with Section 8 of the Terms of Use, a solicitor-client relationship between the User and the supervising Counsel lawyer attaches from the date of the User's first Counsel referral and continues in respect of each subsequent referral made through the User's Account. That relationship is the foundation of solicitor-client privilege over Counsel outputs produced in the User's file.

Counsel advice is limited to the law of the Province of Alberta and the federal law of Canada applicable in Alberta. Counsel does not advise on the law of any other province, territory, or country, and nothing produced by Counsel should be relied on in those jurisdictions without independent local advice.

Counsel advice is limited to matters within the scope of the User's own claim. Counsel does not advise on matters falling outside that scope, including the claims of other persons, transactional matters unrelated to the claim, or general commercial or regulatory questions that are not necessary to the resolution of the claim.

Counsel advises only. Counsel does not arrange, obtain, negotiate, appear, or file on a User's behalf. A User who requires representation in negotiations, proceedings, or formal correspondence beyond the scope of advice must retain counsel on a conventional retainer, whether through the supervising Counsel lawyer (where that lawyer agrees to accept such a retainer) or through independent legal counsel.

5.AI-assisted outputs

Record, Advocate, and Binder University incorporate AI-assisted generation. AI-assisted outputs may be inaccurate, incomplete, or out of date, and may reflect artefacts of the underlying models rather than the facts of a User's claim or the state of the law. Users are responsible for reviewing and verifying AI-generated content before relying on it, whether for a claim, a decision, or any other purpose.

Counsel outputs are reviewed and supervised by a lawyer licensed in Alberta. That supervision — not the AI assistance that may be used in the preparation of drafts — is the basis on which Counsel operates, and is the foundation of the solicitor-client relationship described in Section 4.

6.No guarantee of outcome

Use of Binder does not guarantee any particular legal result, settlement, recovery, or favourable decision. Claim outcomes depend on the facts of the matter, the applicable law, the procedural posture, the conduct of other parties, the exercise of discretion by decision-makers, and other factors outside BinderCo's control.

Nothing in Binder, including any projection, estimate, template, scenario, or sample, should be read as a prediction of, or representation about, the outcome of any actual claim.

7.Advocate is not formal investigation

Advocate identifies factual gaps, investigative questions, and documentary weaknesses in a User's claim. Advocate's outputs are intended to help a User understand what additional information may be needed to advance or defend the claim.

Advocate is not a substitute for a third-party investigator, an expert witness, or an adjuster acting under a regulated mandate. Advocate does not interview witnesses, serve process, obtain sworn evidence, or produce material admissible in court without further steps taken by the User or by Counsel. Where sworn evidence, examinations, or formal investigation are required, the User is responsible for engaging an appropriate professional.

8.Binder University — educational only

Binder University content is educational. It does not confer any professional accreditation, credential recognised outside Binder, or continuing professional development credit, unless a specific course expressly states otherwise and identifies the accrediting body. Enrolment in Binder University does not create a lawyer-client, teacher-student, or other professional relationship between BinderCo and the User.

References within Binder University to statutes, regulations, case law, government publications, professional bodies, or third-party materials are provided for educational context. Such references are not endorsements of the cited source, and do not constitute legal advice on how the cited material applies to any particular User or claim.

9.Third-party services and content

Binder relies on third-party services including, without limitation, Stripe for payments, Resend for transactional email, Supabase for data storage, Amazon Web Services for storage infrastructure, and the Anthropic API for AI-assisted generation. Each of these services is provided by a third party under that third party's terms, and BinderCo is not responsible for the availability, performance, conduct, or content of those services beyond what is required of BinderCo under the Terms of Use and applicable law.

Links to third-party content within Binder, including within Binder University materials, are provided for User convenience and are not endorsements of the linked content or the linked provider. BinderCo does not control third-party content and is not responsible for its accuracy.

10.Service availability

Binder is provided on an "as-is" and "as-available" basis. BinderCo does not warrant that Binder will be uninterrupted, error-free, free from all security threats, or fit for any particular purpose beyond the Service description set out in the Terms of Use.

Consistent with Section 17 of the Terms of Use, BinderCo may suspend, modify, or discontinue Binder or any component of it at any time, with or without notice, subject to the refund and termination provisions of the Terms of Use.

11.Limitation of liability

This Disclaimer does not expand BinderCo's liability beyond what is set out in Section 13 of the Terms of Use. The cap, exclusions, and carve-outs in Section 13 of the Terms of Use apply to all use of Binder, including all use addressed in this Disclaimer.

Where a provision of this Disclaimer could be read as conflicting with Section 13 of the Terms of Use, Section 13 of the Terms of Use prevails.

12.Jurisdictional scope

Binder is governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Lawyers supervising Counsel are licensed to practise in Alberta.

Binder is directed to Users located in Canada. BinderCo makes no representation that Binder is appropriate or available for use outside Canada. Users who access Binder from outside Canada do so on their own initiative and are responsible for compliance with applicable local law, including any law that restricts cross-border provision of legal or related services.

13.Changes to this disclaimer

BinderCo may update this Disclaimer from time to time. For material changes, notice will be provided by email to the address on the User's Account, consistent with the method of service set out in Section 15 of the Terms of Use. For non-material changes, the "Last updated" date at the top of this Disclaimer will be amended.

Continued use of Binder after the effective date of a change constitutes acceptance of the updated Disclaimer.
