1.Introduction and scope
This Disclaimer forms part of the Binder Terms of Use. It is issued by BinderCo, the business name of 2787168 Alberta Ltd., in respect of Binder, a Matter-based software platform including Record, Advocate, Counsel, and Binder University.
This Disclaimer applies to all Users and should be read with the Terms, Privacy Policy, and Acceptable Use Policy. If this Disclaimer conflicts with the Terms, the Terms prevail.
2.Nature of Binder
Binder is software operated by BinderCo. BinderCo is not a law firm, and Binder is not, in itself, a law firm.
Record, Advocate, and Binder University are software and educational components. Except through Counsel as expressly described below, access to or use of Binder does not create a solicitor-client, lawyer-client, or other professional relationship.
3.Record, Advocate, and Binder University are not legal advice
Record is documentary and organizational. It allows Users to capture and organize information relating to a Matter. Record does not determine legal rights, liability, coverage, or outcome.
Advocate is analytical and investigative in nature. It may identify gaps, inconsistencies, unanswered questions, documentary weaknesses, coverage questions, or lines of inquiry. Advocate does not provide legal advice, determine the legal merits of a Matter, or issue a binding conclusion.
Binder University is educational. Its courses and scenarios are intended for general learning and are not tailored legal advice about a User's Matter.
None of Record, Advocate, or Binder University should be relied on as a substitute for advice from a qualified professional where professional advice is required.
4.Counsel — solicitor-client relationship and limits
Counsel is the only Binder component through which a solicitor-client relationship may arise.
A Counsel relationship begins only when a Matter is referred to and accepted within Counsel under the applicable Terms and professional requirements.
Counsel researches and provides written legal information within the scope accepted by the supervising lawyer. Unless a separate retainer expressly provides otherwise, Counsel does not appear in proceedings, negotiate on the User's behalf, arrange or procure services or insurance coverage, file or serve documents, or act as counsel of record.
Counsel may decline or limit a referral because of jurisdiction, conflict, competence, professional obligations, scope, or capacity.
Users requiring representation or legal action beyond Counsel's scope must retain appropriate counsel under a separate retainer.
5.AI-assisted outputs
Binder uses AI-assisted processing in parts of the Service. AI-assisted outputs may be incomplete, inaccurate, or out of date and may reflect limitations of the underlying models, source materials, or User inputs.
Users are responsible for reviewing and verifying outputs before relying on them.
Counsel may use technology in the preparation of work, but Counsel outputs are subject to lawyer supervision. The professional relationship and responsibility arise from that supervision, not from the AI system.
6.No guarantee of outcome, coverage, savings, or recovery
Use of Binder does not guarantee any legal result, insurance coverage, settlement, recovery, cost saving, business outcome, regulatory result, or favourable decision.
Actual outcomes depend on facts, contracts, policy wording, law, evidence, conduct of other parties, decision-makers, market conditions, and other factors outside BinderCo's control.
Any example, scenario, projection, estimate, template, or educational illustration is not a prediction of an actual outcome.
7.Advocate is not a regulated investigator, adjuster, auditor, or expert
Advocate may identify gaps and questions but is not a substitute for an investigator, adjuster, auditor, engineer, accountant, appraiser, expert witness, safety professional, or other regulated or specialized professional where such services are required.
Advocate does not interview witnesses, compel evidence, swear affidavits, inspect physical property, issue regulated opinions, or create admissible expert evidence merely by producing an output.
8.Binder University — educational only
Binder University is educational. Unless a specific course expressly identifies an external accrediting body or recognized credit arrangement, Binder University status, credit-hours, completion records, or internal designations are not represented as professional licences or externally recognized credentials.
University scenarios may be based on eligible de-identified Binder Matters. Identifying details may be removed, generalized, combined, or altered to protect privacy while preserving the educational issue. A University scenario should not be assumed to reproduce every fact of an originating Matter exactly.
BinderCo does not disclose the originating User or Matter for a de-identified scenario.
9.Third-party services and content
Binder relies on third-party infrastructure and service providers. Availability and performance can be affected by those providers.
Links or references to third-party material are provided for context or convenience and do not necessarily constitute endorsement.
10.Service availability
Binder is provided on an "as is" and "as available" basis to the extent permitted by law. BinderCo does not warrant uninterrupted or error-free operation.
BinderCo may modify or discontinue features subject to the Terms, applicable law, and any express product commitments.
11.Limitation of liability
This Disclaimer does not expand or replace the limitation-of-liability provisions in the Terms. The Terms govern.
12.Jurisdictional scope
Binder is directed primarily to Users in Canada. Counsel addresses Canadian legal matters within the scope accepted by the supervising lawyer.
Users outside Canada are responsible for determining whether Binder is appropriate and lawful in their jurisdiction.
13.Changes to this Disclaimer
BinderCo may update this Disclaimer in accordance with the Terms and applicable law.
