When Closing Does Not Finish the Deal
Buying and selling a business in Canada involves more than valuing assets and signing an agreement. This course follows the transaction from initial structure and due diligence through representations, employment obligations, closing and disputes that can arise afterward.
The 11 published lessons now include 2 additional case studies inspired by the issues raised in the Strongco and Stelco transactions. They explore how a claim about earlier conduct can arrive after an asset sale, why the precise wording of an indemnity matters, and how commitments made to obtain government approval may still affect operating decisions years later.
Rather than telling learners what a court would decide in a fictional example, the new lessons ask them to identify the documents, people and decision points that make a responsible response possible. One case study follows a buyer facing a historic equipment claim. Another develops a practical commitments register for operations, regulatory promises, employee obligations and notices requiring follow up.
The course is educational and general. It doesn't replace legal or financial advice on an actual transaction.
