1.Introduction and scope

This Acceptable Use Policy (the "Policy") sets out the rules that govern your use of Binder, the legal claim management service operated by BinderCo, the business name of 2787168 Alberta Ltd., an Alberta corporation. This Policy forms part of the Terms of Use and is incorporated by reference into them at Section 9. Capitalised terms used but not defined in this Policy have the meanings given in the Terms of Use.

This Policy applies to every User and to every Membership, whether Remediation, Sole, Pro, or Enterprise, and applies equally to trial, promotional, and paid access. A breach of this Policy is a breach of the Terms of Use and may result in the enforcement consequences described in Section 13 below, including suspension or termination of your Account per Section 18 of the Terms of Use.

2.Permitted use

Binder is a legal claim management service. You may use Binder for, and only for, the following purposes: documenting facts relevant to your own legal claim in Record; identifying gaps and investigative questions in Advocate; obtaining legal advice through Counsel in respect of your own claim; and learning about legal claim management in Alberta through Binder University.

You are the party responsible for your own claim. Where Counsel is engaged, you are the client, you are the holder of solicitor-client privilege, and solicitor-client privilege attaches from the date of your first Counsel referral. Nothing in this Policy, and nothing in the way Binder is structured, transfers the conduct of your claim to BinderCo or displaces your responsibility for it.

3.Account security

Each Account is for a single User. You must not share your credentials, create Accounts on behalf of other people without authority to do so, or permit anyone else to access Binder using your credentials. You are responsible for all activity that occurs under your Account, whether authorised by you or not.

You must use a strong, unique password for your Account, and you must not reuse a password you use on any other service. If you suspect that your credentials have been compromised, or that someone has accessed your Account without authority, you must notify BinderCo promptly at security@binderco.ca and change your password.

4.Content standards

Information you submit to Binder must be accurate to the best of your knowledge. You must not submit content that you have no right to submit, that is unlawful, that is defamatory, that harasses or threatens another person, or that infringes the intellectual property, privacy, or other rights of a third party.

Where you submit personal information about a third party — for example, a witness, an opposing party, or a professional involved in your claim — you must have the authority or a lawful basis to do so. You must not submit information obtained in breach of a confidentiality obligation, in breach of a privilege held by someone else, or in breach of a court order.

5.Prohibited conduct — platform integrity

You must not interfere with the operation, security, or integrity of Binder. In particular, you must not probe, scan, or test the vulnerability of Binder, or of any system or network connected to Binder, without BinderCo's prior written authorisation. You must not circumvent authentication, rate limits, quotas, or other access controls, and you must not attempt to gain access to any Account, data, or system you are not authorised to access.

You must not launch or participate in a denial-of-service attack against Binder, flood Binder with requests, or otherwise impair the availability of the Service for other Users. You must not introduce or distribute malware, viruses, worms, trojans, or other malicious code through Binder, and you must not use Binder to distribute any such code to third parties.

6.Prohibited conduct — automated access, scraping, and AI training

You must not crawl, scrape, or otherwise extract content from Binder by automated means, except through interfaces that BinderCo provides for that purpose and in accordance with any documentation or rate limits that apply to those interfaces. You must not use Binder content, User outputs, Counsel outputs, or Binder University materials to train, fine-tune, evaluate, or otherwise develop any machine-learning model, whether for your own use or for the use of any third party.

You must not reverse engineer, decompile, or disassemble the Service or any part of it, except to the extent that applicable law expressly permits such activity notwithstanding this restriction. You must not use Binder to develop a competing product, to benchmark against Binder, or to extract data for commercial resale.

7.Remediation tier — specific restrictions

The Remediation Membership is for pre-litigation use only. Remediation is limited to a single incident per Account, and that limitation is enforced at the Account level, through the Binder application programming interface, and in the user interface. You must not use Remediation to aggregate multiple incidents, and you must not use successive Remediation Memberships to circumvent the annual pricing of the Sole, Pro, or Enterprise tiers.

If litigation is commenced in respect of the matter for which you hold a Remediation Membership, whether by you or by a third party, you must notify BinderCo and discontinue use of Remediation for that matter, consistent with Section 6 of the Terms of Use. Refund treatment in that circumstance is governed by Section 7 of the Terms of Use.

8.Counsel — specific restrictions

Counsel advises only. You must not represent to any third party that Counsel is acting for you, negotiating on your behalf, appearing in a proceeding, or filing any document on your behalf, because Counsel does none of those things. Counsel's role is confined to giving you advice about your claim.

Counsel outputs — including memos, follow-up responses, and priority responses — are provided for the referring User only. You must not disclose those outputs to a third party without the written consent of the supervising lawyer within Counsel, consistent with Section 8 of the Terms of Use. You must not use Counsel to obtain advice for another person, for a matter in which you have no standing or authority, or for a matter that falls outside the scope of your own claim.

9.Binder University — specific restrictions

Binder University content is licensed to you for your own educational use within Binder. You must not reproduce, redistribute, publish, or commercially resell any Binder University content, and you must not bulk download courses, lessons, or other materials. You must not share your Account credentials to give another person access to Binder University, and you must not use Binder University content to train, fine-tune, evaluate, or otherwise develop any machine-learning model.

Any notes, summaries, or other derivative works you create from Binder University content are educational derivatives for your own use. The underlying intellectual property in Binder University content remains with BinderCo, consistent with Section 10 of the Terms of Use.

10.Third-party rights

You must not use Binder to harass, stalk, surveil, or intimidate any person. You must not submit to Binder any content that you obtained in breach of a confidentiality obligation, in breach of a privilege held by another person, or in breach of a court order, whether that order is directed to you or to another person.

You must not use Binder to pursue a matter in which you have no legal standing or authority. Where your claim involves a minor, a person under disability, or an estate, you must be the party with authority to act in respect of that person's interests, and you must be prepared to demonstrate that authority if BinderCo reasonably requests it.

11.Compliance with applicable law

You must comply with the laws of Alberta, the federal laws of Canada applicable in Alberta, and any other laws that apply to you in the jurisdiction from which you access Binder or in which your claim arises. You must not use Binder for any conduct that is unlawful in either of those places.

Where export controls, sanctions, or similar legal regimes apply to your use of Binder, you are responsible for compliance with them. You must not use Binder if you are located in, ordinarily resident in, or acting on behalf of a person or entity in a jurisdiction to which Canadian export controls or sanctions prohibit the provision of the Service.

12.Reporting violations

If you become aware of conduct that you reasonably believe breaches this Policy, please report it to abuse@binderco.ca. Your report should include a description of the conduct, the Account you believe is involved if you know it, and any evidence you hold that is relevant to the report.

BinderCo does not guarantee a specific response, a specific outcome, or a specific timeline, and BinderCo does not undertake to keep you informed of the progress or outcome of any investigation. BinderCo will, however, review all reports and will take the action BinderCo considers appropriate in the circumstances.

13.Enforcement

BinderCo may investigate suspected breaches of this Policy. In connection with an investigation, BinderCo may review Account activity, review content submitted to Binder, and contact the User whose Account is involved. BinderCo may suspend or terminate an Account in accordance with Section 18 of the Terms of Use. Where an Account is terminated for breach of this Policy, no refund is payable, consistent with Section 7 of the Terms of Use.

BinderCo may preserve information, and may produce information, in response to a subpoena, court order, or other compulsory legal process. Where the information sought is subject to solicitor-client privilege or to the litigation privilege framework described in the Privacy Policy, BinderCo will apply the privilege and notification framework set out in Section 5 of the Privacy Policy before producing it.

14.Changes to this policy

BinderCo may update this Policy from time to time. Where a change is material, BinderCo will notify you by email to the address on your Account, using the method of service described in Section 15 of the Terms of Use. Non-material changes will be reflected by updating the "Last updated" date at the top of this Policy.

Your continued use of Binder after the effective date of a change constitutes acceptance of the change. If you do not accept a change, you must stop using Binder and may terminate your Account in accordance with Section 18 of the Terms of Use.
