Terms of Use
These Terms of Use govern your access to and use of Binder University, including all course content, learning materials, assessments, and related services (the “Service”). By creating an account or accessing any course, you agree to these Terms in full. If you do not agree, you may not use the Service.
About Binder University
Binder University is a standalone professional education service operated by BinderCo. References to “we” or “us” mean Binder University. References to “you” or “user” mean any individual who creates an account or accesses any content through the Service. Binder University is education, not legal advice. Binder University is not an accredited educational institution and does not issue academic degrees, accredited certifications, or continuing professional development credits.
Account Registration
Access to courses requires the creation of an account. You must provide accurate and complete information at registration, including a valid email address. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you become aware of any unauthorized access to or use of your account, you must notify us promptly at legal@binderuniversity.ca.
Accounts are personal and non-transferable. You may not create an account on behalf of another individual without their express consent. You may not permit any third party to access the Service using your credentials. Each account is licensed to a single named user only.
Course Access and Licence
Upon purchase of an individual course or activation of an annual subscription, Binder University grants you a limited, non-exclusive, non-transferable, revocable licence to access and view the relevant course content for personal, non-commercial educational purposes only. This licence does not include any right to download, copy, reproduce, redistribute, adapt, broadcast, or otherwise use course content outside of the Service’s standard interface.
Individual course purchases provide ongoing access to that course for as long as the course remains available on the Service. Annual subscriptions provide access to all available courses for the duration of the applicable subscription period. Access terminates immediately upon expiry or earlier termination of your subscription, or upon termination of your account for any reason.
Payment Terms
Individual courses are offered at the price points published in the course calendar, which vary by course format and depth. The annual subscription is priced at $399 per year. All prices are stated in Canadian dollars and are inclusive of applicable taxes unless otherwise indicated at checkout. Prices are subject to change, and any change will not affect purchases already completed.
Payments are processed by our third-party payment processor. Binder University does not store complete payment card numbers. By providing payment information, you authorize us to charge the applicable fee at the time of purchase and, for subscriptions, at the commencement of each renewal period unless you cancel in advance of the renewal date.
No-Refund Policy
All course purchases are final and non-refundable. No refund will be issued under any circumstances, with no exceptions.
Annual subscriptions cancelled by you are non-refundable regardless of how much of the subscription period remains at the time of cancellation. Your access will continue until the end of the paid billing period. All subscription purchases are final and non-refundable, with no exceptions, including where Binder University discontinues the subscription service, cancels your subscription, or modifies the content available under your active subscription.
Intellectual Property
All course content, lesson text, scenario materials, assessments, frameworks, illustrations, and other content made available through the Service are the intellectual property of Binder University or its content contributors and are protected by Canadian and international copyright law. Nothing in these Terms transfers any ownership interest in any Service content to you.
You may not reproduce, republish, redistribute, sell, license, adapt, or create derivative works from any Service content, in whole or in part, without our prior written consent. You may not share your access credentials or otherwise enable unauthorized third parties to view course content. Any such use constitutes a material breach of these Terms and may result in immediate account termination without refund, as well as legal action to recover damages.

All content delivered through Binder University is provided for educational purposes only. It does not constitute legal advice, human resources advice, insurance advice, financial advice, or professional advice of any kind. Nothing on the Service creates or is intended to create a professional relationship of any nature between you and Binder University, any of our instructors, or any content contributors.
The case scenarios, frameworks, and analytical approaches presented in courses are designed to illustrate general principles and develop professional literacy. They are not representations as to the appropriate outcome in any specific situation. You should consult a qualified professional before acting on any information obtained through the Service.
Limitation of Liability
To the maximum extent permitted by applicable law, Binder University shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, reliance on any course content, or any other matter relating to these Terms — regardless of the theory of liability and regardless of whether we have been advised of the possibility of such damages.
Our total cumulative liability to you for any claim arising from or relating to these Terms or your use of the Service shall not exceed the total amount you paid us in the twelve months immediately preceding the event giving rise to the claim.
Termination
We reserve the right to suspend or terminate your access to the Service at any time if we reasonably determine that you have violated these Terms, the Acceptable Use Policy, or any applicable law. Termination for breach does not entitle you to a refund of any amounts paid.
You may close your account at any time by contacting us at legal@binderuniversity.ca. Voluntary closure of your account does not entitle you to a refund of any amounts paid for individual course access or an unexpired subscription term.
Communications and Method of Service
All notices, disclosures, and other communications we are required to provide to you under these Terms will be delivered to the email address associated with your account. Notice is deemed given and received at the time it is sent, regardless of whether you open, read, or respond to the communication. You are responsible for ensuring your registered email address is current and accurate and for monitoring correspondence from us.
We may supplement email notice with notifications within the Service. Both methods independently constitute valid and sufficient service for all purposes under these Terms. Notices from you to us for legal purposes should be sent to legal@binderuniversity.ca.
Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable in that province, without giving effect to any conflict of law principles.
Before commencing any formal legal process, both parties agree to attempt to resolve any dispute through good faith direct negotiation for a minimum of thirty days following written notice of the dispute. If the matter is not resolved through negotiation, both parties agree to attempt resolution through a single mediator mutually agreed upon by the parties before resorting to litigation. If mediation does not result in resolution, the exclusive forum for any claim or proceeding will be the courts of the Province of Alberta, and you irrevocably consent to the personal jurisdiction of those courts.
Modifications to These Terms
We may modify these Terms from time to time. Where changes are material, we will provide notice to the email address on your account not less than fourteen days before the changes take effect. Your continued use of the Service following the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service before the effective date.
